B. The RECIPIENT shall mainta in d ocum entation demonstrating comp li a n ce with app licable procurement, contracting, and interloca l agreem e nt requirements; application for , receipt of, and compl ia nce w ith all required permits, li cen ses, easemen ts, o r property rights necess ary for th e project; and s ubmittal of required performance items. C. The RECTPTENT sha ll manage th e project. Efforts in c lud e, but are not limited to: conducting, coordinating, and scheduling project activ iti es and assuring quali ty con tro l. Every effort will be made to maintain effect ive commun ication with the R EC IP IENT's des ignees; ECOLOGY ; all affected local , s ta le , or federal jurisdicti ons; and any interested indi vidual s or groups. The REC IP IENT shall carry out thi s project in accordance with any compl etion dates outl ined in this agreement. AMENDM ENTS AND MODIF ICATIONS This Agreement may be al te red, amended , or waived o nl y by a written amendment executed by both parties. No s ubseq uent modification (s) or amendment(s) of this Agreement w ill be of any force or effect unl ess in writing an d signed by authorized representatives of both parties. ECOLOGY and the REC IPI ENT may change th e ir respective staff contacts and administrative information without the concurrence of either party. 3. ACCESS IB I LITY REQUIREMENT FOR COVERED TECHNOLOGY The REC IPI ENT must comply with the Wa s hington State Office of the Chief In formation Officer, OC IO Poli cy no. I 88, Accessib ility (https://ocio.wa.gov/policy/acccssibility) as it relates to ''covered technology." This requirement applies to all products s upplied under th e agreemen t, p rovid in g equal access to information technology by individuals with di sab ili ties, including and not limited to web s ites/pages, web-based applications, software systems, video and audio content, and electronic documents intended for publishing on Ecology's public web site. 4. ARCHAEOLOG ICAL AND CULTURAL R ESOU RCES RECIP IEN T s hall take reasonable action to avoid, min imi ze, or miti gate adverse effects to archeolog ica l and historic resource s. GOVE RNTNG LAW This Agreement will be governed by th e laws of the S tate of Washington, and th e venue of any action brought hereunder will be in th e S uperior Court of Thurston County. 14. INDEMN IF ICAT ION ECOLOGY wi ll in no way be h e ld responsible for payment of salaries, consul tant's fees, and other costs re lated lo the project described herein, except as provided in the cope of Work . To the extent that the Const itution and laws of the S tate of Washington permit, each pa1ty will indemnify and hold th e o the r harmless from and against any liabili ty for any or all injuries to persons or property arising from the ne g ligent act o r omission of that party or that party's agents or employees arising out of this Agreement. 15. INDEPENDENT STATUS The emp loyees, vo lunteers, or agents of each party who are engaged in the performance of this Agreement will continue to b e emp loyees, volunteers, or agents of that party and will not for any purpose be emp loyees , volunteers, or agents of the o th er party. 16. KICKBACKS REC IPI ENT is prohib it ed from induc in g by any means any person employed o r oth erwise involved in th is Agreement to give up any part of the compensation to wh ich h e/she is otherwise entitled to or receive any fee , commission, or g ift in return for award of a subcontract hereunder. 17. PRESENTATION AND PROMOTI ONAL MATER IALS ECOLOG Y reser ves the ri ght to approve RECIPIENT's communication document s and materials related to the fulfillment of thi s Agreement : a) If requested, REC IPIENT shall provide a draft copy to ECOLOGY for review and approva l te n (I 0) busi ne ss days prior to production and d is tribution . b) REC IPI ENT s hall in clude time for ECOLOGY's review and approval process in their project t imelin e. c) If requested, REC I Pl ENT sha ll provide ECOLOGY two (2) final copies and an electronic copy of any tan gible products developed. Copies incl ude any printed materia ls, and all tangible products developed s uch as brochures, manuals, pamph lets, videos, audio tapes, C Ds, curriculum , posters, m ed ia announcemen ts, or gadgets wiU1 a message, such as a refrigerator magnet, and any online com mun ications, such as web pages, biogs, and tw itt er campaigns. When th e R EC IPIE NT crea tes any copyrightabl e materia ls or in vents a ny patentable property under thi s Agreement, the REC IP IENT may copyright or patent th e same but ECO LOGY retain a roya lly free , nonexclusive, and irrevoca bl e li cense to reproduce, publish , recover, or otherwi s e use the mate ri a l(s) or property, and to authorize others lo use the sa me for federal , state, or lo ca l government purposes. b) Publi ca ti ons. When the RECJPI ENT or persons e mployed by the REC IP IENT use or pub li sh ECOLOGY information; present papers, lectures, or seminars involving information sup pl ied by ECOLOGY; or use logos , reports, maps , or ot her data in printed report s , sign s, brochures , pamphl ets , e tc., appropriate credit s hall be given to ECOLOGY. c) Presentation and Promotional Materia ls . ECOLOGY s hall have the right to use or reproduce any printed or graphic materials produced in fulfillment of thi s Agreement, in a ny manner ECOLOGY deem s appropriate. ECOLOGY shall acknowledge the RE CIP IE T as the so le copyright owner in every use or reproduction of the materials. d) Tangib le Property Ri ghts. ECOLOGY's curre nt edition of "Adminis trat ive Req ui rements for Reci pi ents of Ecology Gra nts and Loans," s hall control the use a nd d is position of all rea l and personal property purchased who lly o r in part with fu nd s furnishe d by ECOLOGY in th e absence of state and federal stat ut es , re gu lations, or policies to the contrary , or upon spec ific instru c tions wi th respect thereto in thi s Agreement. e) Perso nal Property Furnished by ECOLOGY . When ECOLOGY provides pe rsona l prope rty di rectl y to the RECIPIENT for use in pe rfo rm ance of the project, it sha ll be retu rned to ECOLOGY prior to final payment by ECOLOGY. If s a id property is lo s t , s tolen , or damaged whil e in the RE C IPI EN T's possession , th en ECO LOGY shall be reimb ursed in cash or by setoff by the REC I Pl ENT for th e fa ir market va lue of s uch property. f) Acquisit ion Pr ojects. REC IPI ENT s hall establish that the cost is fair va lue and rea sonable prior to disbursement of funds provided for in this A g reem en t. 2. RE C IPIENT shall provide satisfactory evidence of t itl e or ability to acqu ire t itle for each parcel prior to d isbursement of funds prov id ed by this Agreement. Such evid e nce may in clude title insurance poli cies, Torrens ce rtificates, or abstracts, and attorney 's op ini ons estab li shing that th e land is free from an y imp ediment , lien , or c laim which wo uld impair the uses in tended by this Agreement. g) Conv ers ions. Regardless of the Agreement ex piration dale, th e REC IPI EN T s hall not at any time convert any equipment, property , or fac ili ty acq uired or developed under this Agreement lo uses other than those for wh ich ass ista nce was original ly approved with out prior written approva l of ECOLOGY. All work performed under thi s Agreement and any property and equipment purcha se d shall be made available to ECOLOG Y and to any authorized s tate, fede ral or local representative for in spection at any tim e during the course of th is Agreement and for at least th ree (3) years following grant or loan terminat ion or dispute reso lution hereunder. RE C IPIENT shall provide right of access to ECOLOGY, or any other authorized representative, at a ll rea sonab le times, in order to monitor and evaluate perfonnance, compliance, and any other cond ition s under this Agreement. 23. RECOVERY OF FUNDS The right of the RECIPIENT to retain monies received as reimburse ment payments is contingent upon sati sfactory performance of this Agreement and complet ion of the work de scribed in the Scope of Work. All payments to the RE C IPI ENT are s ubject to approval and audit by ECOLOGY, and any unauthori ze d expenditure(s) or unallowable cost c harged to this Agreement shall be refunded to ECOLOGY by the RECIP IENT. REC IPIENT sha ll refund to ECOLOGY the full amount of any erroneous payment or overpayment under thi s Agreement. REC IPIENT shal l refund by chec k pa yab le to ECOLOGY th e amount of any such reduction of payments or repayments with in thi tty (30) days of a written notice. Interest will accrue at the rate of twelv e percent ( 12%) per yea r from th e time ECOLOGY demands repayment of funds . Any property acquired under this Agreement, at the optio n of ECOLOGY , may become ECO LOG Y's property and th e REC IP IENT'S liability to repay moni es will be reduced by an amount refl ecting th e fair value of s uch property. 24. SUSPENS ION When in th e best interest of ECOLOGY , ECOLOGY may at any lime, and without cause, suspend thi s Agreement or any portion thereof for a temporary period by written notice from ECOLOGY to the REC! Pl ENT. RECI Pl ENT sha ll resume perfonnance on the next business da y fo ll owing the s uspension period unless another day is specified by ECOLOGY. 27 . TERM IN/\T ION a) For Ca use ECOLOGY may terminate for cause this Agreement wi th a seven (7) calendar days prior w ritten noti fi cati on to the RECIPIENT, at the so le discretion of ECOLOGY, for fai lin g lo perform an Agreement requirement or for a material breach of any term or condition. I f thi s Agreement is so tem1 inated, th e parties shall be liab le on ly for performance rendered or costs incurred in accordance with the terms of thi s Agreement prior to the effective date of termination . Fai lure to Commence Work . ECOLOGY reserves the right to terminate thi s Agreem ent if RECIPI ENT fail s to commence work on the project funded within fo ur (4) months after the effecti ve date of this Agreement, orb) any date mutually agreed upon in writing for commencement of work, or th e time period defined with in th e Scope of Work. Non-Pe rforman ce. T he ob li gation of ECOLOGY to the RECIPIENT is cont in gent upon satisfactory performance by the RECIPIENT of all of its obligation s under this Agreement. In the event the REC l P fENT unjustifiably fails , in the opinion of ECOLOGY , to p erform any obligat ion requi red of it by th is Agreement, ECOLOGY may refuse to pay any further funds, terminate in who le or in part thi s Agreement, and exercise any other right s under this Agreement. Despite th e above, the RECI PIENT sha ll not be relieved of any li ability to ECO LOGY fo r damages s u sta in ed by ECOLOGY and the State of Washington because o f any breach of this A greement by the RE C I P IENT. ECO LOGY may w ithh o ld payments for the purpose ofsetoff until s uch time as th e exact am ount of damages due ECOLOGY from th e R EC IPI ENT is determined. b) For Con ve ni ence ECOLOG Y may terminate for convenience this Agreement, in whole or in part, for any reason when it is the best interest of ECOLOGY, with a thirty (30) calendar days prior written n o tifi cation to the RECI PI E T , except as noted below. Non-A llocation of Funds. ECO LOG Y's ability to m ake pay m ents is contingent on availability of funding. In the event funding from state, federal or other sources is withdrawn , reduced, or limited in any way afler the effective date and prior to the comp le t ion or expiration date of thi s Agreement, ECOLOGY, at its so le discretion , may e lect to termi n ate th e Agreemen t, in who le or part, or renegotiate th e Agreement, subject to new fundin g limitations or conditions. ECOLOG Y may also e lect to suspend per fo rm a nce of the Agreement unti l ECOLOGY cl e term ines the funding insufficiency is resolved. ECOLOG Y may exercise any of th ese options w ith no notification or restricti ons, although ECOLOGY will make a reasonable attempt to pro vide notice. Tn th e event of termination or suspen sion , ECOLOGY wi ll reimburse eligible costs incurred by the RECIPIENT through the effective date of termination or s uspen s ion . Reimbursed costs must be agreed to by ECOLOGY and th e RECIPIE T. In no event shall ECO LOG Y 's reimbursement exceed ECO LOG Y 's total res ponsibility under the agreement and any amendmen ts. If payments ha ve been discontinued by ECOLOGY due to unavailable funds, the REC IPIE T shal l not be obligated to repay monies which had been paid to the RECIPI E T prior to s uch termination. WAIVER Waiver of a default or breach of any prov ision of this Agreement is not a waiver of any subsequent default or breach , and wi ll not be cons tr ued as a modification of the terms of this Agreement un less stated as such in writing by t he authorized representative of ECOLOGY.
